All communications, medical information, or personal data exchanged between a veteran and a provider occur outside of Veterans Desk and at the sole discretion and responsibility of the parties involved. Veterans Desk does not monitor, manage, or store these exchanges.

Provider Listing & Membership Agreement

By simply checking the box and clicking “Agree & Continue,” you (the “Provider“) accept this Agreement with Veterans Desk, Inc. (“VDI”) for inclusion on the Veterans Desk provider directory and related membership features. If you disagree, do not proceed. It’s that straightforward.

1) Our Role and Limitations This section clarifies the role of Veterans Desk, Inc. as a nonprofit, provider-supported directory. It also outlines the services we do not provide, and the nature of your relationship with your patients.

VDI is a nonprofit, provider-supported directory. We do not provide medical care, coordinate patient care, verify VA eligibility/authorization, or guarantee payment, outcomes, or referrals. Your relationship with any patient is strictly between you and the patient. Rest assured, our focus is on supporting providers like you.

2) Your Responsibilities This section details your obligations as a listed provider, including the provision of accurate and up-to-date profile information, and your sole responsibility for clinical, administrative, billing, and compliance decisions.

  • You will supply accurate, current profile information (locations, specialties/subspecialties, contact details, whether you accept VA Community Care referrals, etc.) and keep it updated.

  • You grant VDI a non-exclusive, worldwide, royalty-free license to display your practice name, logos, profile content, and public contact info on the directory and related promotional pages, identifying you as a participating provider.

  • You are solely responsible for your clinical, administrative, billing, and compliance decisions.

3) VA Community Care; no direct Veteran billing for authorized care

Suppose a Veteran presents a valid VA Community Care authorization covering your services. In that case, you agree to bill the appropriate VA payer/TPA (not the Veteran) for authorized services, per applicable rules. This clause does not make VDI a payer, guarantor, or billing intermediary.

4) Eligibility & authorizations

You will independently verify eligibility, coverage, authorizations, coding, and submission rules with VA/TPA or other payers. VDI provides no assurances on eligibility or payment.

5) Membership fees (Providers) + Layette Support discount & donations

  • If your listing requires dues or fees, you agree to pay the amounts shown at enrollment or renewal. VDI may change provider pricing on notice for future terms.

  • Layette Support Discount. For each active provider membership month, VDI applies a $5.00 discount to your membership charge, and VDI will donate an equivalent $5.00 to VDI’s Baby Diaper Layette program. This donation is made by VDI (not by you) and is reflected as a VDI program allocation; your invoice will show the discounted membership amount.

  • Optional provider donations. You may optionally add a recurring or one-time additional contribution to support the Layette program at your discretion. VDI will issue a donation acknowledgment/receipt for optional contributions made by you, to the extent permitted by law.

  • No tax advice. Membership fees (including the discounted portion) are not charitable donations by you. Optional contributions may be deductible depending on the law; consult your advisor.

  • VDI may update the discount/donation amount with at least 30 days’ notice for future terms and will publish periodic program impact summaries.

6) Provider-generated Avatars & media (likeness/voice/content)

  • What this covers.Avatar/Media” means any photo, logo, headshot, brand imagery, biography, audio/voice sample, video, or AI-generated avatar (image or video) you supply for your profile, introduction, or promotions connected to your listing.

  • Rights you grant. You grant VDI a non-exclusive, worldwide, royalty-free license to host, display, reproduce, adapt, and distribute your Avatar/Media solely to operate the directory and to market your listing or the directory (e.g., search previews, category pages, social posts, email roundups). You retain all ownership in your Avatar/Media.

  • Your promises. You represent and warrant that you own or control all rights in your Avatar/Media (including publicity/likeness and voice rights), have obtained all necessary permissions/releases, and that your Avatar/Media does not infringe any third-party rights or include protected health information (PHI) or other regulated data.

  • Prohibited uses. You will not upload Avatar/Media that is deceptive, defamatory, unlawful, or misrepresents your credentials, nor any AI/synthetic content that implies VA endorsement or impersonates a person without permission.

  • Takedown. VDI may remove Avatar/Media at its discretion (e.g., upon credible complaint) and will use reasonable efforts to notify you. Provide a replacement promptly if requested.

7) Disclaimers; limits

The directory is provided “as is.” To the maximum extent permitted by law, VDI disclaims all warranties and limits total liability to the fees you paid to VDI in the 12 months preceding the event giving rise to the claim. VDI is not liable for indirect, incidental, special, consequential, or punitive damages.

8) Arbitration Agreement — Florida; Class-Action & Jury Waiver

A. Agreement to arbitrate. You and VDI agree that any claim or dispute between us arising out of or relating to this Agreement, your listing, the platform, or related communications will be resolved exclusively by binding individual arbitration, not in court.
B. Governing law & FAA. This Arbitration Agreement is governed by the Federal Arbitration Act (FAA). Florida law regulates all non-arbitration issues, without regard to conflict-of-laws rules.
C. Forum & rules. Arbitration will be administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules (including any expedited procedures). The seat/venue of arbitration will be Hillsborough, Florida. The arbitrator may hold hearings in person or by video/teleconference, as permitted.
D. Arbitrator & relief. A single neutral arbitrator will decide all issues, including arbitrability. The arbitrator may award on an individual basis any relief available in court. Judgment on the award may be entered in any court with jurisdiction.
E. Fees & costs. Each party pays its own attorneys’ fees and expenses unless a statute requires otherwise. AAA administrative and arbitrator fees are allocated per AAA rules, subject to the arbitrator’s discretion.
F. Class-action & jury-trial waivers. You and VDI waive the right to a judge or jury trial. Disputes must be brought individually—no class, collective, consolidated, or representative actions.
G. Carve-out for interim relief. Either party may seek temporary court relief solely to preserve the status quo or protect confidential information pending arbitration; merits remain for the arbitrator.
H. Survival & severability. This Section 8 survives termination. If the class-action waiver is found unenforceable, this entire Section 8 is void; otherwise, the remaining provisions are enforced to the fullest extent allowed.

9) Term; termination

Either party may end the listing on notice. Sections that reasonably should survive do survive (including 3–8 and 6).

10) Notices

11) Electronic signatures & records (ESIGN consent)

By clicking “Agree & Continue,” you consent to do business electronically with VDI, including receiving this Agreement and related notices by email. You may request a paper copy at the address above. You may withdraw e-sign consent by emailing legal@veteransdesk.org; withdrawal may affect your ability to remain listed.

12) Entire agreement; changes; versioning

This is the entire agreement for your listing. We may update non-material terms with notice; material changes require your acceptance to continue listing. VDI maintains a version log; your acceptance is recorded with a timestamp and IP address, and a copy is emailed to you.
